Purchase price:  $1.10 per share

Warrants:  6,818,180 share purchase warrants to purchase 6,818,180 shares

Warrant exercise price:  $2 for a two-year period

Total pro group involvement:  9,000 (one placee)

Agent’s fee:  Clarus Securities Inc., as lead agent, on behalf of a syndicate, received $998,728.89 and 907,935 non-transferable warrants, each exercisable for one share at a price of $1.10 per share for a two-year period.
